Terms of Service

1.1 Licence Grant

Subject to your compliance with these Terms, Kratuxil grants you a limited, revocable, non-exclusive, and non-transferable right to access and use the Platform solely in accordance with the intended functionality of the Services. Kratuxil reserves the right, at its sole discretion and without prior notice, to modify, suspend, or discontinue any portion of the Platform or its features.

1.2 Legal Eligibility and Compliance

You agree to access and use the Platform only where such use is permitted under applicable law. By using Kratuxil, you represent and warrant that:

• All information you provide is accurate, current, and complete.
• You will promptly update information if it changes.
• You possess the legal capacity to enter into binding agreements under the laws of your jurisdiction.
• Your use of the Platform complies with all applicable laws, regulations, and contractual obligations.

1.3 Oversight and Enforcement

Kratuxil may, but is not obligated to, monitor user activity to assess compliance with these Terms. Failure by Kratuxil to enforce any provision does not constitute a waiver of its rights. You are solely responsible for your conduct, interactions, and activities conducted through the Platform. If you become aware of misuse, abuse, or violations of these Terms, you agree to notify Kratuxil via official support channels.

1.4 Access Restrictions and Account Termination

Kratuxil may, at its discretion and without prior notice, restrict, suspend, or terminate access to the Platform or Services if:

• These Terms or applicable laws are violated.
• Reasonable indications of misuse, fraud, or abuse are identified.
• Such action is necessary to protect platform operations, other users, or business interests.

Kratuxil shall not be liable for losses, damages, or claims resulting from access restriction or termination.

1.5 Third-Party Content and Relationships

The Platform functions solely as a digital interface facilitating access to independent offerings, campaigns, or services provided by third parties ("Third Parties" or "Products"). You acknowledge and agree that Kratuxil:

• Does not employ, endorse, or represent any Third Party referenced on the Platform.
• Does not control, verify, or guarantee the legality, quality, safety, or performance of Third-Party Products or services.
• Does not validate claims, ownership, licensing status, or representations made by external providers.
• Is not responsible for statements, omissions, or inaccuracies made by Users or Third Parties.

Any interaction with Third Parties or their Products is undertaken entirely at your own risk. You are solely responsible for conducting appropriate due diligence before engaging external services.

1.6 Limitation of Liability

To the maximum extent permitted by law, Kratuxil, its affiliates, officers, employees, and agents shall not be liable for any claims, losses, damages, costs, or disputes arising from:

• Interactions between Users.
• Engagements with Third Parties or external services.
• Reliance on Third-Party Products, content, or representations.

Kratuxil does not sell, distribute, licence, or directly provide Third-Party Products. Its role is limited to operating and maintaining the Kratuxil Platform and associated Services.

2.1 Prohibited Activities

In addition to obligations outlined above, you agree that neither you nor any party acting on your behalf will:

• Attempt to analyse, extract, reverse-engineer, or reconstruct source code, algorithms, models, or proprietary logic underlying the Platform.
• Use the Platform for unlawful, deceptive, abusive, or harmful purposes.
• Reproduce, modify, redistribute, or create derivative works based on Platform systems, databases, or visual elements.
• Circumvent or interfere with authentication measures, encryption layers, or access controls.
• Deploy unauthorised automation tools, bots, scripts, crawlers, exploits, or similar mechanisms.
• Violate financial, advertising, data protection, or consumer regulations applicable in your jurisdiction.
• Access or attempt to access other user accounts or internal systems without authorisation.
• Collect, disclose, or misuse personal information of other users without informed consent.
• Operate the Platform in a manner that disrupts system stability, server capacity, or network integrity.

2.2 Standards for User-Submitted Content

Any content made available through the Platform must:

• Be lawful, accurate, and compliant with these Terms.
• Respect intellectual property, privacy, and publicity rights.
• Exclude offensive, hateful, explicit, violent, or discriminatory material.
• Be free from malware, hidden code, or unauthorised tracking mechanisms.
• Comply with advertising, disclosure, and consumer-protection requirements.
• Avoid imposing excessive technical load on Platform infrastructure.

2.3 Licence for Submitted Content

By submitting content, you grant Kratuxil and its authorised partners a worldwide, non-exclusive, royalty-free right to store, process, adapt, publish, display, and distribute such content solely for Platform operation, maintenance, and promotion. Kratuxil may remove or restrict access to content that violates these Terms or poses legal, operational, or reputational risk. No compensation shall be owed for content removal or modification.

2.4 User Responsibility

You remain solely responsible for all content you submit or distribute through the Platform. Kratuxil disclaims liability for user-generated content and for claims or disputes arising from such materials.

4.1 Ownership and Reserved Rights

All intellectual property related to the Kratuxil Platform and its Services remains the sole and exclusive property of Kratuxil. This includes, without limitation: • Platform architecture, software components, algorithms, interfaces, databases, updates, enhancements, and accompanying documentation. • All trademarks, service marks, logos, trade names, and brand identifiers associated with Kratuxil. Nothing in these Terms transfers ownership or grants any implied rights to Users beyond the limited, revocable authorisation to access and use the Platform strictly in accordance with these Terms.

4.2 User-Provided Materials and Third-Party Rights

Users are solely responsible for ensuring that any materials submitted through the Platform are lawful and that they hold all necessary rights to upload or share such content. You agree not to submit, publish, or distribute materials that infringe intellectual property rights, contractual obligations, moral rights, or proprietary interests of any third party.

Kratuxil does not review, verify, or endorse user-submitted content and assumes no responsibility for its legality, accuracy, or completeness.

4.3 Indemnification Obligations

You agree to indemnify, defend, and hold harmless Kratuxil, its affiliates, directors, officers, partners, employees, and contractors from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of or relating to:

• Content you submit, upload, transmit, or distribute through the Platform.
• Alleged or actual infringement of intellectual property, contractual, or proprietary rights.
• Misuse of the Platform, breach of these Terms, or violation of applicable laws or regulations.

These indemnification obligations survive account termination and cessation of Platform use.

5.1 Limitations on Data Use

You agree not to extract, store, reuse, distribute, sell, or otherwise exploit any data, content, or materials obtained through the Platform without prior written authorisation from Kratuxil. You acknowledge that Kratuxil may collect, analyse, and retain information that is publicly available or voluntarily provided by Users where such processing is reasonably necessary for platform operations, analytics, security monitoring, risk management, or regulatory compliance.

5.2 Data Processing Standards

All personal, technical, and operational data is processed in accordance with the Kratuxil Privacy Policy and applicable data protection laws. Kratuxil does not independently assess the legality of user-submitted information. Each User remains solely responsible for ensuring that any data shared through the Platform is accurate, lawful, and authorised for use.

5.3 Liability Allocation and User Indemnification

Kratuxil shall not be liable for losses, damages, breaches, or claims resulting from data misuse, unauthorised access, or a User's failure to comply with this Section. You agree to indemnify and hold Kratuxil harmless from any claims, liabilities, costs, or expenses (including legal fees) arising from improper handling, disclosure, or use of data or content. You further acknowledge that the Platform is not intended to function as a permanent or secure data storage solution. Users are responsible for maintaining independent backups of any information they consider critical.

5.4 Content Accessibility and Public Exposure

Kratuxil does not guarantee the preservation, availability, or recoverability of any files, data, or information transmitted through the Platform. Any content made publicly visible or shared through the Platform may be accessed, copied, or redistributed by third parties. You assume full responsibility for any exposure, communication, or consequences resulting from such visibility.

7.1 Unauthorised Commercial Exploitation

Unless expressly approved in writing by Kratuxil, the Platform and Services may not be used for any unauthorised commercial purpose. This includes, without limitation, reselling or sublicensing access, monetising Platform functionality, operating competing or derivative services, or utilising Platform data for independent commercial analytics beyond the intended scope of Kratuxil.

7.2 Promotion, Advertising, and Solicitation Restrictions

You may not use the Platform to advertise, promote, solicit, or market external products, services, programmes, or opportunities without prior written authorisation from Kratuxil. Unapproved recruitment initiatives, referral schemes, direct marketing campaigns, or mass outreach to Users through the Platform are strictly prohibited unless explicitly permitted in advance.

7.3 Unapproved Contact with Other Users

You agree not to contact other Users for sales, promotional, or marketing purposes without their explicit prior consent. Any form of unsolicited communication — including spam, automated messaging, harvesting of contact information, or bulk outreach related to the Platform — is strictly prohibited and may result in immediate access restriction or termination.

9.1 General Notice

Kratuxil applies commercially reasonable measures to support platform availability, operational stability, and data protection. However, you acknowledge that no digital system can guarantee uninterrupted access, flawless execution, or absolute reliability. Use of the Platform is undertaken entirely at your own discretion and risk. The Services are provided on an "AS IS" and "AS AVAILABLE" basis, without representations or assurances of any kind.

9.2 Disclaimer of Warranties

To the fullest extent permitted by applicable law, Kratuxil expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to warranties relating to:

• Fitness for a particular purpose or commercial application;
• Accuracy, completeness, or timeliness of information;
• Continuous, secure, uninterrupted, or error-free operation;
• Non-infringement of third-party rights;
• Ownership, availability, compatibility, or performance of third-party tools, integrations, or services.

No communication, guidance, output, or content provided through the Platform shall be construed as creating any warranty not expressly stated in these Terms.

9.3 No Financial, Investment, or Legal Advice

Kratuxil does not act as a financial adviser, broker, intermediary, fiduciary, or legal consultant. All analytical tools, system outputs, data representations, and informational materials provided through the Platform are intended solely for general informational purposes. You acknowledge that all trading, investment, or financial decisions are made independently and entirely at your own risk. Kratuxil bears no responsibility for outcomes, losses, or consequences resulting from reliance on Platform content, system outputs, user interactions, or third-party services.

9.4 Limitation of Liability

To the maximum extent permitted by applicable law, Kratuxil, its affiliates, directors, officers, employees, and representatives shall not be liable for any indirect, incidental, consequential, exemplary, or punitive damages, including but not limited to:

• Loss of profits, revenue, or anticipated earnings;
• Business interruption or operational downtime;
• Loss, corruption, or inaccessibility of data;
• Reliance on communications, analytics, outputs, or materials associated with the Platform.

Where certain exclusions or limitations are restricted by law, ${brand.short}'s liability shall be limited to the minimum extent required under applicable legislation.

10.1 Third-Party Tools and External Content

Kratuxil makes no representations or warranties regarding the accuracy, suitability, legality, or reliability of any third-party tools, integrations, content, or services ("Third-Party Features") that may be accessible through the Platform. Responsibility for such Third-Party Features rests exclusively with the respective external provider or the user supplying them. Kratuxil is not obligated to monitor third-party compliance but reserves the right, at its discretion, to restrict, suspend, or remove access to any Third-Party Feature if potential security, legal, or operational risks are identified. You acknowledge that exposure to incomplete, inaccurate, misleading, or otherwise objectionable third-party materials may occur and voluntarily accept all associated risks.

10.2 Technical and Operational Constraints

Kratuxil shall not be liable for interruptions, delays, degradation, or failures arising from technical or operational limitations, including but not limited to:

• Network outages, latency, or connectivity disruptions;
• Server downtime, scheduled maintenance, or infrastructure upgrades;
• Transmission delays, data corruption, or synchronisation failures;
• Software defects, incompatibilities, update issues, or delivery errors.

These limitations apply whether such issues originate from Kratuxil systems or third-party infrastructure beyond our direct control.

10.3 Limitation of Damages

To the fullest extent permitted by applicable law, Kratuxil and its affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages — even if the possibility of such damages was foreseeable or previously disclosed. This limitation applies to all claims related to Platform access or use, including, without limitation, claims involving loss of profits, business opportunities, data, goodwill, or anticipated economic advantage.

12.1 Governing Law and Jurisdiction

These Terms, and any disputes or claims arising out of or relating to them, shall be governed by the laws applicable in your country of residence, except where mandatory local legislation requires otherwise. Any legal action or proceeding shall be brought exclusively before the competent courts within the applicable jurisdiction. To the extent permitted by law, you expressly waive any right to initiate or participate in collective, representative, or class-action proceedings against Kratuxil.

12.2 Limitation Period and Severability

Any claim or cause of action against Kratuxil must be commenced within one (1) year from the date the claim first arose. Claims not filed within this period shall be deemed permanently barred. If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision shall be interpreted or modified to reflect the original intent as closely as legally possible, whilst the remaining provisions shall remain in full force and effect.

12.3 Independent Relationship

Nothing in these Terms shall be construed to create a partnership, joint venture, employment, fiduciary, or agency relationship between you and Kratuxil. You have no authority to act on behalf of, bind, or represent Kratuxil in any manner. These Terms, together with the Privacy Policy and any expressly incorporated notices, constitute the entire agreement between you and Kratuxil concerning use of the Platform and supersede all prior or contemporaneous agreements or communications.

12.4 Notices and Communications

Kratuxil may deliver legal notices, policy updates, or official communications using the contact information provided by you, including email or in-Platform messaging. You consent to receive all such communications electronically and agree that electronic delivery satisfies any legal requirement for written notice, effective upon transmission.

12.5 Assignment, Waiver, and Enforcement

You may not assign, transfer, or delegate any rights or obligations under these Terms without prior written consent from Kratuxil. Any failure or delay by Kratuxil to enforce a provision of these Terms shall not be deemed a waiver of that provision or of the right to enforce it in the future. A waiver in one instance does not constitute a continuing waiver. Kratuxil reserves the right to pursue all remedies available under law or equity in the event of breach or non-compliance.
